BY CLICKING “I AGREE” (OR ANY SIMILAR BUTTON OR CHECKBOX), BY EXECUTING AN ORDER FORM THAT REFERENCES VITU ONEAPI, OR BY ACCESSING, GENERATING CREDENTIALS FOR, CALLING, INTEGRATING WITH, OR OTHERWISE USING VITU ONEAPI, YOU (AND THE ENTITY YOU REPRESENT) AGREE TO BE BOUND BY THESE VITU ONEAPI TERMS OF USE AND BY THE VITU MASTER SUBSCRIPTION TERMS INCORPORATED HEREIN. IF YOU DO NOT AGREE, DO NOT CLICK “I AGREE” AND DO NOT ACCESS OR USE VITU ONEAPI.
- Nature of These Terms; Incorporation of the Master Subscription Terms 1.1 Additional Product Terms. These Vitu OneAPI Terms of Use (these “OneAPI Terms”) are “Additional Product Terms” within the meaning of, and are governed by, the Vitu, Inc. Master Subscription Terms (the “Master Subscription Terms” or “MST”). These OneAPI Terms apply to Customer’s and its Authorized Users’ access to and use of Vitu OneAPI, a Vitu Product consisting of Vitu’s application programming interfaces, related endpoints, developer credentials, software development kits, documentation, and associated tools and services (collectively, “Vitu OneAPI” or the “API”). 1.2 Incorporation by Reference. The Master Subscription Terms, currently available at www.vitu.com/terms, are incorporated into these OneAPI Terms by this reference in their entirety and form a part of these OneAPI Terms as though fully set forth herein. Customer acknowledges that it has read, and agrees to be bound by, the Master Subscription Terms. By accepting these OneAPI Terms, Customer also accepts the Master Subscription Terms. 1.3 Defined Terms. Capitalized terms used but not otherwise defined in these OneAPI Terms have the meanings given to them in the Master Subscription Terms. For clarity, Vitu OneAPI is a “Vitu Product,” and these OneAPI Terms are “Additional Product Terms,” in each case as defined in the Master Subscription Terms. 1.4 Order of Precedence. In the event of any conflict among the documents governing Vitu OneAPI, the order of precedence set forth in Section 13.4 of the Master Subscription Terms will control: from highest to lowest priority, (a) the applicable Order Form, (b) these OneAPI Terms (as Additional Product Terms), (c) any applicable Attachment, and (d) the Master Subscription Terms. The additional terms in these OneAPI Terms supplement, and do not replace, the Master Subscription Terms; except to the extent of a direct conflict, all provisions of the Master Subscription Terms remain in full force and effect with respect to Vitu OneAPI.
- Acceptance; Click-Wrap; Eligibility 2.1 Acceptance. These OneAPI Terms are a binding agreement between Customer and Vitu. Customer accepts these OneAPI Terms by any of the following, each of which constitutes Customer’s electronic signature and assent: (a) clicking “I Agree,” checking an acceptance box, or taking a similar affirmative action; (b) executing an Order Form that references Vitu OneAPI; or (c) accessing, requesting or generating Credentials for, or otherwise using Vitu OneAPI. Acceptance through electronic means satisfies all requirements of the Electronic Signatures in Global and National Commerce Act (E-SIGN) and any similar Laws, consistent with Section 13.2 of the Master Subscription Terms. 2.2 Authority. The individual accepting these OneAPI Terms represents and warrants that he or she is at least eighteen (18) years of age and is authorized to bind Customer to these OneAPI Terms and the Master Subscription Terms. 2.3 Updates to These Terms. Vitu may update these OneAPI Terms from time to time. Vitu will make the then-current version available at www.vitu.com/terms or another location designated by Vitu. Customer’s continued access to or use of Vitu OneAPI after the effective date of an updated version constitutes Customer’s acceptance of the updated OneAPI Terms.
- Definitions Specific to Vitu OneAPI The following definitions apply to these OneAPI Terms in addition to the definitions in the Master Subscription Terms: 3.1 “API Call” means any request transmitted to, or transaction processed through, a Vitu OneAPI Endpoint. 3.2 “API Credentials” means API keys, client identifiers, client secrets, tokens, certificates, and any other authentication or authorization credentials issued by or on behalf of Vitu to enable access to Vitu OneAPI. API Credentials are “Credentials” as defined in the Master Subscription Terms. 3.3 “Documentation” means the technical documentation, specifications, developer guides, and usage policies that Vitu makes available for Vitu OneAPI, as updated by Vitu from time to time. 3.4 “Endpoint” means a specific Vitu OneAPI uniform resource identifier or interface through which API Calls are made. 3.5 “Government Agency” or “Department” means any state department of motor vehicles (DMV), motor vehicle agency, tax or revenue authority, law enforcement agency, or other governmental authority, or any authorized agent or contractor thereof, that authorizes, regulates, or provides data or services in connection with motor vehicle titling, registration, or related transactions. 3.6 “Rate Limits” means the maximum volume, frequency, concurrency, or throughput of API Calls permitted over a given period, as established by Vitu and/or an applicable Government Agency. 3.7 “United States” means the fifty states of the United States and the District of Columbia.
- License and Scope of Use 4.1 Grant. Subject to the Master Subscription Terms, these OneAPI Terms, the applicable Order Form, and payment of all applicable Fees, Vitu grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the Subscription Term to access and use Vitu OneAPI solely (a) for Customer’s internal business purposes in managing and operating Customer’s business at the Authorized Customer Location(s) in the ordinary course, and (b) in accordance with the Documentation. No rights are granted except as expressly set forth herein and in the Master Subscription Terms. 4.2 No Resale or Pass-Through. Without limiting Section 4 of the Master Subscription Terms, Customer may not offer, resell, sublicense, distribute, or otherwise make Vitu OneAPI (or any data, output, or functionality obtained through it) available to any unauthorized Third Party, or use Vitu OneAPI for service-bureau, outsourcing, or similar purposes, except as expressly authorized in writing by Vitu. 4.3 Use Restrictions. Customer’s and Authorized Users’ use of Vitu OneAPI is subject to all use restrictions in Section 4 of the Master Subscription Terms, which apply to Vitu OneAPI in full. Without limiting those restrictions, Customer and Authorized Users will not: (a) exceed applicable Rate Limits or circumvent any technical, security, quota, throttling, or access-control measures; (b) access Endpoints or data other than those Customer is authorized to access; (c) use any bot, scraper, crawler, or other automated means to access Vitu OneAPI except through the documented, authorized programmatic interfaces; (d) reverse engineer, decompile, or attempt to derive source code, underlying data structures, or non-public Endpoints of Vitu OneAPI; (e) introduce any Malicious Code; or (f) use Vitu OneAPI to develop, train, or improve any product or service that competes with any Vitu Product.
- Government Agency Approval; Availability of Functionality 5.1 Approval by State Agencies. Customer acknowledges and agrees that the availability, activation, and continued operation of Vitu OneAPI, and of particular Endpoints, features, data sources, and functionality within Vitu OneAPI, may require the prior approval, authorization, certification, credentialing, or registration of, and continued good standing with, one or more Government Agencies, including state departments of motor vehicles (DMVs). Vitu does not control, and does not guarantee, whether or when any such approval will be granted, maintained, suspended, conditioned, or revoked. Vitu may withhold, delay, suspend, condition, or discontinue access to any Endpoint or functionality, in whole or in part, to the extent required by, or to comply with the requirements of, any Government Agency, and Vitu will have no liability to Customer for doing so. 5.2 Customer Responsibility for Approvals. Customer is solely responsible for obtaining and maintaining any registrations, certifications, approvals, authorizations, bonds, or credentials required by any Government Agency or applicable Law for Customer or any Authorized User to access or use Vitu OneAPI or the data made available through it, including any state-required entity and individual user registrations and any ongoing compliance obligations, consistent with Section 8.2 of the Master Subscription Terms (Motor Vehicle Record (MVR) Usage). Vitu may require evidence of such approvals as a condition of access. 5.3 Not All Functionality Available to All Users. Customer acknowledges and agrees that not all Vitu OneAPI functionality is or will be available to all users. The Endpoints, features, data, transaction types, and functionality available to Customer may differ from those available to other users and may change over time. Availability may depend on, among other things, the applicable Order Form, the Government Agency approvals applicable to Customer, the jurisdiction(s) in which Customer is authorized to transact, Customer’s subscription tier, Customer’s compliance status, and technical or regulatory requirements. Vitu makes no representation or warranty that any particular functionality will be available to Customer. 5.4 Modifications and Deprecation. Consistent with Sections 2.5 and 2.8 of the Master Subscription Terms, Vitu may modify, version, deprecate, disable, or discontinue any Endpoint, feature, data source, or functionality of Vitu OneAPI at any time, including where required by a Government Agency or where Vitu determines it no longer has the right or ability to provide the applicable functionality. Vitu will use commercially reasonable efforts to provide advance notice of material breaking changes through the Documentation or other reasonable means; provided that changes required for security, legal, or Government Agency compliance reasons may be made without advance notice.
- Geographic Restrictions; Location-Dependent Functionality; VPN Prohibition 6.1 United States Access Only. Vitu OneAPI may be accessed and used only from within the United States. Customer and its Authorized Users may not access or use Vitu OneAPI, and may not make any API Call, from any location outside the United States. Customer is responsible for ensuring that all of its and its Authorized Users’ access to and use of Vitu OneAPI originates from within the United States. 6.2 Location-Dependent Functionality. Customer acknowledges and agrees that the availability and scope of Vitu OneAPI functionality may depend upon, and may be restricted by, the physical location from which access occurs and the jurisdiction(s) in which Customer and its Authorized Users are authorized to transact. Functionality, Endpoints, and data available in one jurisdiction or location may not be available in another, and certain functionality may be available only in connection with specific Authorized Customer Locations or Government Agency approvals. 6.3 VPN and Location-Masking Prohibited. The use of any virtual private network (VPN), proxy, anonymizer, Tor, IP-masking or geolocation-spoofing technology, or any other method to conceal, alter, or misrepresent the geographic origin or physical location of access is strictly prohibited in connection with Vitu OneAPI. Customer and its Authorized Users will not use any such technology or method to access Vitu OneAPI or to circumvent the geographic or location-based restrictions in these OneAPI Terms. 6.4 Verification and Enforcement. Customer acknowledges that Vitu may employ geolocation, IP-based, device-based, and other technical measures to verify compliance with this Section 6, and Customer consents to such measures. Vitu may block, restrict, suspend, or terminate access to Vitu OneAPI that Vitu reasonably believes originates from outside the United States, that uses prohibited location-masking technology, or that otherwise violates this Section 6, in addition to and without limiting Vitu’s suspension and termination rights under Sections 3.2 and 3.4 of the Master Subscription Terms. A violation of this Section 6 is a material breach of the applicable Order Form.
- API Credentials and Security 7.1 Issuance and Safeguarding. API Credentials are Credentials under the Master Subscription Terms and are subject to Section 2.3 thereof. Customer will keep all API Credentials confidential and secure, will not embed API Credentials in publicly accessible code, repositories, or client-side applications in a manner that exposes them, and will restrict their use to Authorized Users. Customer is responsible and liable for all activity occurring through or under its API Credentials, whether or not authorized. 7.2 Compromise. Customer will, within twenty-four (24) hours, disable or rotate API Credentials associated with any Authorized User who is terminated, whose engagement ends, or who is no longer authorized, and will immediately notify Vitu (Email Notice to [email protected] being sufficient) of any actual or suspected unauthorized use, disclosure, or compromise of any API Credentials. 7.3 Security Measures. Customer will maintain the information security measures, anti-malware controls, endpoint protection, and personnel training required under Sections 9.2(f) and 9.2(g) of the Master Subscription Terms with respect to all systems used to access Vitu OneAPI or to store or transmit data obtained through it.
- Rate Limits, Quotas, and Fair Use 8.1 Rate Limits. Customer’s use of Vitu OneAPI is subject to Rate Limits, quotas, and throttling as established by Vitu and/or an applicable Government Agency and as set forth in the Documentation or applicable Order Form. Vitu may modify Rate Limits at any time, including for capacity, security, stability, or Government Agency compliance reasons. 8.2 No Burden or Interference. Consistent with Section 4(f) of the Master Subscription Terms, Customer will not use Vitu OneAPI in any manner that damages, disables, overburdens, or impairs Vitu OneAPI or the networks, systems, or data connected thereto, or that interferes with any other party’s authorized use.
- Data, Privacy, and Compliance 9.1 Data Rights and Obligations. All rights and obligations in the Master Subscription Terms regarding Customer Data, Consumer Information, Analytics Data, OEM Data, and Third Party Materials apply to data accessed, transmitted, or processed through Vitu OneAPI. Sections 6 (Proprietary Rights and Licenses) and 7 (Information Security) of the Master Subscription Terms apply in full. 9.2 Driver Privacy and MVR Data. Without limiting Section 8.2 of the Master Subscription Terms, Customer acknowledges that data accessible through Vitu OneAPI may include motor vehicle records and Consumer Information subject to the Driver’s Privacy Protection Act (DPPA), the Gramm-Leach-Bliley Act, and other applicable Privacy Laws, and Customer will, and will cause its Authorized Users to, comply with all such Laws and with all permissible-use, recordkeeping, audit, and certification requirements imposed by applicable Law or any Government Agency. 9.3 Compliance with Law. Customer will comply with all applicable Laws in connection with its access to and use of Vitu OneAPI, including export, sanctions, and trade-control Laws, and will not access or use Vitu OneAPI in violation of any such Laws.
- Fees Access to and use of Vitu OneAPI may be subject to Subscription Fees, per-transaction Fees, API usage Fees, integration surcharges, and governmental fees and taxes, in each case as set forth in the applicable Order Form and governed by Section 5 of the Master Subscription Terms. Governmental fees and taxes imposed in connection with transactions processed through Vitu OneAPI are Customer’s responsibility and may be passed through to Customer as provided in Section 5.4 of the Master Subscription Terms.
- Suspension and Termination In addition to Vitu’s rights under Sections 3.2, 3.4, and 6 of these OneAPI Terms and the Master Subscription Terms, Vitu may immediately suspend, throttle, or terminate Customer’s or any Authorized User’s access to Vitu OneAPI (in whole or in part) if Vitu reasonably believes that such access or use (a) presents a threat or harm to Vitu OneAPI, Vitu, or its other customers; (b) violates these OneAPI Terms, the Master Subscription Terms, applicable Law, or any Government Agency requirement; (c) originates from outside the United States or uses prohibited location-masking technology; or (d) exceeds applicable Rate Limits. Vitu will use reasonable efforts to lift a suspension promptly after the basis for it is resolved.
- Disclaimers; Limitation of Liability Customer’s access to and use of Vitu OneAPI is provided subject to the disclaimers and limitations of liability in Section 11 of the Master Subscription Terms, which apply in full to Vitu OneAPI. Without limiting the foregoing, Vitu makes no representation, warranty, or commitment that Vitu OneAPI, any Endpoint, or any functionality or data will be available, uninterrupted, error-free, available in any particular jurisdiction or location, or approved by any Government Agency. Vitu is not engaged in the practice of law and provides no legal or compliance advice; Customer should consult its own legal advisor.
- Electronically Reproduced California Department of Motor Vehicles Forms Vitu has entered into contracts with the California DMV (“CA DMV”) authorizing Vitu to electronically generate forms based upon CA DMV templates, which may be completed electronically and printed. This functionality is offered through Vitu OneAPI. These forms are divided into two categories: serialized forms containing a unique serial number issued to Vitu (REG 42; REG 51; REG 396; REG 397; REG 397A; and REG 398), and non-serialized forms (which do not contain a unique serial number). Electronically produced forms will contain an approval number provided by CA DMV to Vitu, and are subject to strict usage requirements established by CA DMV. The following terms and conditions specifically apply to the use and access to electronically produced CA DMV forms: • You acknowledge that all electronically produced CA DMV forms are the sole property of the State of California, and usage of these forms may be suspended by CA DMV or Vitu at any time with or without cause. • You acknowledge that failure to abide by these terms and conditions relating to electronically produced CA DMV forms may lead to disciplinary action by CA DMV and potential suspension, cancellation, or revocation of vehicle registration, certificate of ownership, license plate or permit (depending upon the subject transaction). • You agree not to allow any third party to use the approval number contained on any electronically produced CA DMV form. • You agree not to alter, modify, add to, or manipulate any electronically produced CA DMV forms in any way. • You agree not to resell, reproduce, or redistribute any electronically produced CA DMV forms. • You agree to complete the electronically produced CA DMV forms in full, and in a manner that complies with all state and federal laws, CA DMV Policies, and the enforcement positions of the various law enforcement agencies that regulate your operations. • You agree to immediately accept and implement any changes in CA DMV’s software, equipment, reporting, security, telecommunications, and database technology requirements as may be developed and amended from time to time, which Vitu will communicate to you in advance when reasonably practicable. • You agree to limit access and use of the electronically produced CA DMV forms to authorized personnel assigned logins by Vitu. • You agree to immediately cease using the electronically produced CA DMV forms in any manner upon demand by Vitu.
- General 14.1 Relationship to MST. Except as expressly modified or supplemented by these OneAPI Terms, the Master Subscription Terms remain in full force and effect and govern Vitu OneAPI, including the provisions on Cancellation, Termination and Suspension (Section 3), Use Restrictions (Section 4), Fees and Payments (Section 5), Proprietary Rights and Licenses (Section 6), Information Security (Section 7), Representations and Warranties (Section 9), Indemnification (Section 10), Limitations of Liability and Disclaimers (Section 11), Arbitration and Class Waiver (Section 12), and Miscellaneous Provisions (Section 13), including Governing Law and Forum. 14.2 Entire Agreement. These OneAPI Terms, together with the Master Subscription Terms, any applicable Attachments, and the applicable Order Form, constitute the entire agreement between the Parties with respect to Vitu OneAPI and supersede all prior or contemporaneous understandings with respect to its subject matter.
ACCEPTANCE By clicking “I Agree,” checking the acceptance box, executing an Order Form that references Vitu OneAPI, or accessing or using Vitu OneAPI, Customer acknowledges that it has read, understands, and agrees to be bound by these Vitu OneAPI Terms of Use and the Vitu Master Subscription Terms incorporated herein by reference.
